1. Definitions

• Service: The Tokunbo.io website, apps, data, reports, tools, and features.
• Report(s): VIN-based information we retrieve from data providers and present to you.
• AI Analysis / Inspector: Automated assessments (e.g., damage detection, rebuildability scoring, repair cost ranges) generated from VIN Reports and/or auction images.
• Import Service: A paid service offered by Tokunbo.io as a broker to facilitate bidding, purchase, shipping, and clearing of vehicles from international auctions (e.g., Copart, IAA) into Nigeria.
• Partner Lot: A curated, limited selection of vehicles from third-party dealer or broker partners displayed on Tokunbo.io.
• User/You: Any person or entity that accesses or uses the Service.
• Auction House: A licensed third-party vehicle auction platform (e.g., Copart, IAA) where purchases occur.

2. Who May Use Tokunbo.io

You must be at least 18 years old and capable of entering a binding contract under Nigerian law. If you access on behalf of a company, you represent you have authority to bind that company.

3. Account & Security

You agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any suspected unauthorized use.

4. What Tokunbo.io Provides (and What We Don't)

• We provide pricing intelligence, VIN Reports, AI Analysis, and Import Brokerage Services.
• As a broker, we assist with bidding, auction registration, logistics, shipping, and clearing.
• We do not own or sell vehicles. Purchases occur directly between you and the Auction House.
• We do not guarantee condition, mileage, accident history, or title beyond what is disclosed by auctions and shipping partners.

5. VIN Reports & AI Analysis

• Sources & Limits: Reports rely on third-party data sources (e.g., title/registration, auction footprints, prior listings). Not all records exist for all VINs.
• AI Outputs Are Estimates: AI Analysis and AI Inspector provide advisory outputs only. They are not certified repair estimates, insurance decisions, or legal advice. Always conduct independent inspections and due diligence.
• Use Rights: When you purchase a Report or AI Analysis, you receive a personal, non-transferable license to view and use it for your private transaction purposes. You may not resell, republish, or use it to build competing products.
• Delivery: Reports are typically delivered promptly after payment. If providers are unavailable, we will notify you.

6. Imports (Broker Service)

• Scope: When you request an import, Tokunbo.io acts as your broker to facilitate bidding, purchase, shipping, and clearing.
• Deposits: Imports require a deposit before Tokunbo.io places any auction bids.
  Deposits are conditionally refundable: credited or refunded only if you complete the full vehicle payment on time.
  If you delay or fail to pay, late fees apply and deposits may be forfeited.
• Payments for Vehicle:
  All vehicles are priced in USD.
  You pay the auction house directly in USD for the vehicle. Tokunbo.io does not collect or hold these funds.
  We display Nigerian Naira (₦) equivalents for convenience only, based on prevailing market exchange rates. Final Naira equivalent depends on the actual USD/NGN rate on the payment date.
• Payments for Services: Tokunbo.io's service fees, shipping, clearing, and logistics costs are billed separately (typically in Naira).
• Late Payments: Failure to pay the Auction House within the required timeline may cause you to lose the vehicle, attract late penalties, and forfeit deposits paid to Tokunbo.io.
• Vehicle Condition: Vehicles are sold "as is" by the Auction House. Tokunbo.io is not liable for undisclosed damage, title issues, or documentation errors. We strongly recommend adding a VIN Report or AI Inspection before bidding.
• AI Inspector Add-On: For supported vehicles, you may request an AI inspection to highlight visible auction damage and provide repair guidance. This is advisory only and does not replace a physical inspection.
• Risk Transfer: Once the vehicle arrives in Nigeria and is cleared, risk transfers to you.

7. Payments, Pricing, and Refunds

• Currency: All vehicle prices are in USD. Any Naira amounts displayed are for informational purposes only and use prevailing market rates.
• Auction Payments: You are responsible for paying the Auction House directly in USD for the vehicle.
• Tokunbo.io Fees: Service fees, shipping, clearing, and logistics may be billed in Naira or USD, depending on provider requirements.
• Deposits:
  Deposits are applied to your brokerage and logistics obligations.
  Deposits are refundable only if you complete payment for the vehicle within the agreed timeframe.
  If you delay or default, deposits may be forfeited.
• VIN/AI Services:
  If a report generates successfully → sale is final.
  If a report fails due to system/provider error → you may choose refund or credit.
  If providers return "insufficient data" → we may issue a partial refund or credit.
• No Refunds for Auction Purchases: Vehicle purchases made at auction are subject to the Auction House's own refund and cancellation rules, not Tokunbo.io.

9. Intellectual Property

The Service, including price data models, graphics, logos, and software, is owned by Tokunbo.io or its licensors. Except for the limited license in §5(3), no rights are granted.

11. Third‑Party Services

We use third-party VIN providers, AI processors, auctions, shipping carriers, clearing agents, and payment processors. Each has their own terms. Tokunbo.io is not responsible for their independent actions or policies.

12. Disclaimers

• Informational Only: Insights, VIN Reports, AI outputs, and import calculators are advisory tools, not definitive valuations, mechanical inspections, or financial/legal advice.
• Imports "As Is": Vehicles purchased via Tokunbo.io's brokerage service are sold as is, where is, with all faults. Tokunbo.io doesn't warrant condition, title, documentation, or repair costs.
• Estimates Only: Import cost calculators and AI Inspector outputs are advisory. Actual landed cost and repair costs may differ.
• Currency Disclaimer: Naira conversions displayed are for convenience only. Final payable amounts are determined by the USD rate on the day of payment.
• No Warranties: The Service is provided "as is" and "as available." We disclaim all warranties (express or implied).

13. Limitation of Liability

To the fullest extent permitted by law, Tokunbo.io and its affiliates, officers, employees, and partners are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages.

Our total liability for all claims will not exceed the greater of (a) the amount you paid to Tokunbo.io in the past 12 months, or (b) ₦1,000,000.

14. Indemnification

You agree to indemnify and hold harmless Tokunbo.io and its partners against claims, damages, or legal costs arising from your misuse, your content, or your violation of these Terms.

15. Suspension & Termination

We may suspend or terminate your access for violations or to protect the Service. Certain sections (e.g., IP, disclaimers, liability limits) survive termination.

16. Changes

We may modify these Terms or the Service at any time. We'll update the effective date and notify you if changes are material. Continued use means acceptance.

• Entire Agreement: These Terms + Privacy Policy = full agreement.
• Assignment: You cannot transfer rights without consent. We may assign as part of restructuring.
• Severability: If one clause is invalid, others remain effective.
• No Waiver: Failure to enforce is not waiver.
• Force Majeure: We are not liable for events beyond our control (e.g., outages, strikes, acts of God).
